Terms of Service

These terms cover how agencies, teams, and individual users may use AgencyUGC to source, brief, and manage UGC creators for clients, and how subscriptions, billing, and usage rights work.

1. Acceptance of terms

By creating an account, starting a free anonymous demo, or subscribing to a paid plan, you agree to these Terms of Service on behalf of yourself and, if you are acting for an agency or company, on behalf of that organization. If you do not agree, do not use AgencyUGC.

2. Description of the service

AgencyUGC is a white-label workspace that lets agencies, freelance strategists, and brand teams create client workspaces, build campaign briefs, source vetted UGC creators from our marketplace, and track deliverables and usage rights. AgencyUGC facilitates the introduction and workflow between agencies and creators; it does not employ creators, and it is not a party to the creative work a creator delivers.

3. Accounts and responsibilities

  • You must provide accurate account information and keep your login credentials confidential.
  • You are responsible for activity that happens under your account and your team's seats.
  • Agency owners are responsible for the conduct of team members they invite to their workspace.
  • You must be old enough to enter a binding contract in your jurisdiction to create an account.

4. Acceptable use

You agree not to:

  • Use AgencyUGC to source content that is illegal, deceptive, or infringes someone else's rights.
  • Circumvent the platform to pay creators found through AgencyUGC while avoiding the applicable marketplace facilitation fee for that invite.
  • Scrape, resell, or redistribute the creator marketplace data outside the product.
  • Attempt to bypass usage limits, security controls, or the honeypot spam protection on our forms.
  • Misrepresent your agency's identity when using white-label branding on client-facing briefs.

5. Creator marketplace facilitation

AgencyUGC facilitates the connection between your agency and vetted creators; it does not act as either party's employer or agent. When you invite a creator through the marketplace, a facilitation fee applies to that engagement in addition to your subscription, disclosed before you confirm the invite. Payment terms, deliverable expectations, and revision counts for a given engagement are set in the campaign brief and any agreement you reach with the creator.

6. Usage rights and ownership

Usage rights for each deliverable (for example, organic-only, paid-ads, or perpetual all-channel use) are set and logged per deliverable inside the campaign, based on what you and the creator agree to for that piece of content. AgencyUGC provides the workspace to record and reference those rights; it is your responsibility to confirm the agreed rights with the creator match what your client's campaign actually needs before you publish.

7. Billing and cancellation

  • Starter, Plus, and Pro are paid subscription plans billed monthly or yearly through Stripe. Enterprise is billed under a custom agreement.
  • Yearly plans are billed once a year at the discounted yearly rate shown at checkout.
  • Monthly and yearly subscriptions renew automatically until canceled.
  • You can cancel any time from the billing portal. Your plan stays active until the end of the current billing period; we do not provide partial-period refunds except where required by law.
  • If a payment fails, we may suspend paid features until billing is resolved, and your workspace will drop to the free account tier if the subscription lapses.

8. Intellectual property

AgencyUGC and its logo, design, and product features are our intellectual property. You keep ownership of the briefs, notes, and business content you put into your workspace. Ownership of creator deliverables is governed by the usage rights agreed for that deliverable, as described in Section 6.

9. Disclaimers

AgencyUGC is provided on an "as is" and "as available" basis. We work to vet creators and keep the platform reliable, but we do not guarantee that any specific creator's content will meet your creative or performance expectations, or that the service will be uninterrupted or error-free. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the extent permitted by law, AgencyUGC will not be liable for indirect, incidental, or consequential damages arising from your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose.

11. Termination

You may stop using AgencyUGC and cancel your subscription at any time. We may suspend or terminate an account that violates these terms, poses a security risk, or is used for acceptable-use violations described in Section 4. Where reasonable, we will provide notice before termination.

12. Governing law

These terms are governed by the laws of the jurisdiction in which AgencyUGC's operating entity is registered, without regard to conflict-of-law principles. Enterprise agreements may specify different governing law and dispute-resolution terms by mutual agreement.

13. Changes to these terms

We may update these terms as the product evolves. If we make material changes, we will update the date at the top of this page and, where appropriate, notify account owners by email.
